Brazil's 1942 monetary reform abolished the Mil Réis and introduced the Cruzeiro at par — one Cruzeiro for one Mil Réis — meaning the face value didn't change, only the unit name did. Rather than print an entirely new series immediately, the Treasury authorized overprinting existing American Bank Note Company stock of the 10 Mil Réis (P#39) with the new denomination. It was a transitional measure, not a permanent solution.
The overprinted series circulated alongside freshly printed Cruzeiro notes during the changeover, and attrition was high. The ABNCo plate work underlying the overprint dates to an earlier commission entirely.
