Comments

Sears Canada operated its gift certificate program as a closed-loop retail instrument — redeemable only within its own stores and catalogue, with no regulatory obligation to the Bank of Canada. That distinction matters: these certificates were not subject to the currency controls governing negotiable instruments, which is why denominated retail paper of this kind could circulate informally as near-cash between family members and employees without legal consequence.

Sears Canada filed for creditor protection in June 2017 and liquidated fully by January 2018. Outstanding gift certificates were voided, leaving holders with no recourse — a detail that gives surviving unspent examples an accidental finality.
